Consultant Agreement

Between:

  1. Consultant-Search: TOTAL HEALTH WORLD LIMITED whose registered office is at 53 Stoke Lane, Westbury on Trym, Bristol BS9 3DW, trading as consultant-search.co.uk, the owner and publisher of the consultant-search.co.uk website (the “Website”, which shall include any successor website to consultant-search.co.uk ), and
  2. CONSULTANT: You

Agreement

The parties have agreed that Consultant-Search will provide the services set out below to the Consultant on the terms and conditions set out below and attached.

Publishing Services

The Consultant will provide Consultant-Search with his or her biographical information as requested by Consultant-Search and Consultant-Search will edit this into one of its standardised forms and publish it on the Website in the form of a standard Listing.

The Consultant shall notify Consultant-Search immediately if any of their biographical information published on the Website requires amendment to correct an inaccuracy to prevent it from being misleading or to reflect the changed circumstances of the Consultant. 

Where appropriate Consultant-Search may notify the Consultant when additional features or services become available on the Website.

Term

This Agreement starts on today’s date and continues initially for one year. It is subject to automatic renewal subject to the terms listed below.

Payment

  1. The Consultant will pay £198 plus VAT for a year's membership (£16.50 per month).

Terms and Conditions

PAYMENT

Consultant-Search may at its discretion require payments due under this Agreement to be made by Direct Debit. In that case, the Consultant will complete and return to the Website Publisher the Direct Debit Instruction Form provided by Consultant-Search and the Direct Debit Guarantee shall apply.

All amounts set out in the Agreement are exclusive of VAT.

Upon termination of this Agreement, any monies owed by the Consultant to Consultant-Search shall be payable immediately.

WARRANTY AND INDEMNITY

The Consultant represents and warrants to Consultant-Search that all information that he or she provides for publication on the website is true and accurate in all respects and is not misleading in any respect.

The Consultant shall (in addition to, and without affecting, any other rights or remedies Consultant-Search may have whether under statute, common law or otherwise) indemnify and keep indemnified Consultant-Search and hold the Consultant-Search harmless from and against all actions, claims, demands, liabilities, damages, costs, losses or expenses (including without limitation, consequential losses, loss of profit, loss of reputation and all interest, penalties, legal and other professional costs and expenses) arising from or related to the Services to be performed under this Agreement, except when the same shall arise due to Consultant-Search wilful misconduct or gross negligence.

RELATIONSHIP OF THE PARTIES

Nothing in this Agreement shall constitute, or be deemed to constitute, a partnership between the parties nor shall it constitute, or be deemed to constitute, either party to be the agent of the other party for any purpose.

This Agreement is personal to the Consultant, who may not assign any of his or her rights hereunder, or sub-contract or otherwise delegate, any of his or her obligations hereunder, except with the written consent of Consultant-Search.

AUTOMATIC RENEWAL

Consultant-Search will provide a renewal rate card to the Consultant for consideration at least sixty (60) days prior to the expiry date of this Agreement. Unless the Consultant notifies Consultant-Search in writing at least forty five (45) days prior to the expiry date that it does not wish to renew this Agreement, the Agreement shall be automatically renewed on the expiry date for a further period of one year.

TERMINATION

Either party has the right to terminate this Agreement immediately if the other:

  1. has committed a material breach of this Agreement, unless such breach is capable of remedy, in which case the right to terminate immediately will be exercisable if the other party has failed to remedy the breach within 14 days after a written notice requiring it to do so; or
  2. becomes insolvent or is the subject of a bankruptcy order

Upon termination of this Agreement for any reason, the biographical information will remain the property of Consultant-Search.

If this Agreement is unlawfully terminated by the Consultant prior to the end of its term, the Consultant will remain obliged to pay the amounts which are or would become due under this Agreement through to the end of its term..

The termination of this Agreement shall be without prejudice to any rights which have already accrued to either of the parties under this Agreement.

WHOLE AGREEMENT

This Agreement and any documents referred to in it, constitute the whole Agreement between the parties and supersede any arrangements, understanding or previous agreement between them relating to the subject matter covered by the Agreement.

NOTICES

Any notices required or permitted by this Agreement shall be in writing and shall be delivered as follows:

a. by personal delivery, when delivered personally;
b. by overnight courier, upon written verification or receipt; or
c. by pre-paid first class mail, on the third day after the envelope containing it was posted (unless the letter is returned to the sender as undelivered).

Any notice to Consultant-Search shall be sent to its registered office from time to time. Any notice to the Consultant shall be sent to the address set out on the front page of this Agreement or to such other address as the Consultant may specify in writing.
